Acceptance of Terms
By accessing our website at starterdot.com or engaging Starterdot LTD for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
These terms apply to all visitors, clients, and others who access or use the service. "Service" means the web design, development, hosting, SEO, security, and DevOps services offered by Starterdot LTD.
Services & Delivery
Starterdot LTD agrees to provide web development and related services as outlined in project proposals and statements of work agreed in writing (email confirmation counts). We will:
- Deliver work to the agreed specification, timeline, and budget
- Communicate progress regularly throughout the project
- Provide staging environments for review before final deployment
- Transfer full ownership of all custom code to the client on final payment
Timelines are estimates. Delays caused by client feedback cycles, late content delivery, or change requests are not the responsibility of Starterdot LTD.
Payment Terms
Payment is required as follows unless otherwise agreed in writing:
- 50% deposit: Due before work commences
- 50% balance: Due on project completion before handover
- For projects over $5,000, milestone-based schedules are available
Invoices are payable within 7 days. Late payments accrue interest at 5% per month. We reserve the right to suspend work or withhold deliverables until outstanding invoices are paid.
Accepted currencies: USD, GBP, NGN. Accepted payment methods: Paystack, Stripe, bank transfer, cryptocurrency (USDT/Bitcoin).
Intellectual Property
Upon full payment, all custom code, designs, and deliverables produced specifically for the client become the client's property. This transfer includes:
- Custom HTML, CSS, JavaScript, and PHP code
- Database schemas and seeded content
- Design files (if produced as part of the project)
The following are not transferred to the client:
- Third-party libraries, frameworks, or open-source software (subject to their own licences)
- Starterdot's internal tooling, boilerplate, or proprietary development methodology
Starterdot retains the right to display completed projects in our portfolio unless the client requests otherwise in writing.
Change Requests & Scope
Anything outside the agreed project scope is a change request. Change requests must be:
- Submitted in writing (email)
- Agreed in writing before implementation begins
- Billed at our then-current hourly rate or as a fixed-price addition
We will not implement scope changes without written agreement. Verbally agreed changes that are not confirmed in writing are not binding.
Warranties & Liability
Starterdot warrants that:
- Services will be performed with reasonable skill and care
- Custom code will function as described in the agreed specification
- We will fix post-launch bugs caused by our own code within the agreed support period at no additional charge
We do not warrant that our services will be error-free or uninterrupted. Our liability for any claim arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim.
We are not liable for indirect, consequential, or incidental losses including lost revenue, lost data, or business interruption.
Termination
Either party may terminate a project with 14 days' written notice. On termination:
- The client pays for all work completed to date at a pro-rated rate
- The deposit is non-refundable if work has commenced
- Starterdot delivers all completed work to the client
Starterdot may terminate immediately for non-payment, abusive conduct, or breach of these terms.
Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be addressed via good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act.
